These terms govern your use of the ApexSpark Electrical Contractor Platform (the “Service”). By creating an account or using the Service, you agree to be bound by them. If you do not agree, please do not use the Service.

1. The Service

ApexSpark is a cloud-based platform for electrical contractors, providing job management, certificates (EIC, EICR, MEIWC, DICR), team scheduling, materials and purchase-order tracking, holidays, overtime, tools and supplier management. The Service is delivered as software-as-a-service and accessed via web browser.

You own the data you put into the Service — your jobs, certificates, plots, materials, team records, customer details and so on. We process that data on your behalf solely to provide and improve the Service. You can export your data at any time and we will delete it on request, subject to any legal retention obligations. See our Privacy Policy for details.

6. Service Availability

We make reasonable efforts to keep the Service available 24/7 and to minimise scheduled downtime, but we do not provide a formal uptime SLA. Maintenance windows will be communicated where practicable. We are not liable for downtime caused by factors outside our reasonable control (including third-party infrastructure failures, ISP outages or force-majeure events).

7. Intellectual Property

The Service, including its code, design, content and trademarks, is owned by ApexSpark. We grant you a non-exclusive, non-transferable right to access and use the Service for the duration of your subscription. We do not claim any rights in your data.

8. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these terms or the Service is limited to the fees paid by you in the twelve months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental losses, including loss of profit, business or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded.

9. Termination

You may end your subscription at any time. We may suspend or terminate accounts that breach these terms, with notice where practicable. On termination, you remain liable for any unpaid fees up to the end of your current billing period, and we will make your data available for export for a reasonable period before deletion.

10. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated by email and by an in-app notice. The “Last updated” date at the top will always reflect the current version. Continued use of the Service after a change constitutes acceptance.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
